Agreement Framework

The VMATIX Master Service Agreement establishes the legal and commercial framework under which VMATIX provides business services to its customers. It is intended to sit above individual order forms, service schedules, and statements of work.

Where there is a conflict between documents, the order of precedence should be defined in the executed order documentation so both parties have a clear reference point for delivery, billing, risk allocation, and change management.

Commercial and Operational Principles

The agreement governs ordering, pricing, service commencement, invoicing, payment terms, contract renewal, limitation of liability, confidentiality, intellectual property, and circumstances in which services may be suspended or terminated.

VMATIX operates its services using reasonable skill and care and expects customers to provide timely cooperation, authorised decision-makers, and a suitable operating environment where the customer retains control of infrastructure, applications, or data.

Security, Compliance, and Governance

Both parties are expected to comply with applicable law, data protection obligations, and security requirements relevant to the services being delivered. Service-specific security, resilience, and response measures may be expanded within the relevant schedule or order form.

Material changes, disputes, or service escalations should be handled through documented governance routes and the designated commercial or support contacts agreed between VMATIX and the customer.
